FX Webs - Terms and Conditions

1. Services

FX Webs provides a range of creative and digital marketing services, including:

  • Web Design and Development: Crafting visually appealing and functional websites tailored to client needs.
  • Graphic Design: Creating impactful logos, branding elements, and marketing materials.
  • Content Marketing: Developing high-quality written, visual, and multimedia content to engage audiences.
  • Digital Marketing: Implementing data-driven strategies for search engine optimization (SEO), social media marketing, and paid advertising.

2. Client Responsibilities

  • Providing Information: The client agrees to provide timely and accurate information necessary for FX Webs to perform the services.
  • Content Approval: The client is responsible for reviewing and approving all content created by FX Webs before publication or distribution.
  • Website Access: For website projects, the client agrees to provide necessary access to existing website files, hosting accounts, and other relevant resources.

3. Project Timelines and Deliverables

  • Project Schedules: FX Webs will provide estimated timelines for project completion. However, timelines may be subject to change based on client feedback, revisions, or unforeseen circumstances.
  • Deliverables: FX Webs will clearly define project deliverables in proposals or contracts.

4. Payment Terms

  • Project Fees: Fees for services will be outlined in proposals or contracts. Payment schedules may vary depending on the project scope.
  • Late Payments: Late payments may be subject to interest charges or suspension of services.

5. Intellectual Property

  • Ownership: Unless otherwise agreed upon in writing, FX Webs retains ownership of all design concepts, source files, and other intellectual property created during the project.
  • Usage Rights: The client grants FX Webs the right to use the completed project in its portfolio and marketing materials.

6. Confidentiality

  • Non-Disclosure: Both parties agree to keep confidential any proprietary information shared during the course of the project.

7. Termination

  • Termination for Breach: Either party may terminate the agreement if the other party breaches any material term and fails to cure the breach within a reasonable time.
  • Termination for Convenience: The client may terminate the agreement for convenience upon written notice and payment for services rendered up to the termination date.

8. Limitation of Liability

  • Disclaimer of Warranties: FX Webs provides services on an "as is" basis and makes no warranties, express or implied, regarding the services or their results.
  • Limitation of Liability: FX Webs' liability for any damages arising from the services shall be limited to the amount of fees paid by the client for the specific services in question.

9. Governing Law and Dispute Resolution

  • Governing Law: This agreement shall be governed by and construed in accordance with the laws of the state where FX Webs is located Olathe Colorado.  
  • Dispute Resolution: Any disputes arising from this agreement shall be settled through mediation or arbitration.

10. Entire Agreement

  • Complete Understanding: This agreement constitutes the entire understanding between the parties and supersedes any prior or contemporaneous communications.

11. Modifications

  • Written Amendments: This agreement may be modified only by a written instrument signed by both parties.
